Hereinafter referred to as "Company" or "Platform"
CONTENT CREATOR
Hereinafter referred to as "Creator" or "Model"
This Agreement is effective as of: ____/____/________ (DD/MM/YYYY)
RECITALS
WHEREAS, the Company operates a digital platform at morichels.com that allows the Creator to publish and monetize visual content;
WHEREAS, the Creator wishes to upload, publish, and distribute content through the Platform;
WHEREAS, the Platform may display content that falls under the definition of "sexually explicit conduct" as defined by 18 U.S.C. § 2257;
NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:
1. AGE VERIFICATION & USC 2257 COMPLIANCE
1.1 Age Representation and Warranty
The Creator hereby represents, warrants, and certifies that:
- AGE: Creator is at least 18 years of age or older.
- IDENTITY: All documents provided are genuine, valid, and unaltered.
- CAPACITY: Creator has full legal capacity to enter into this Agreement.
- NO COERCION: Creator enters this Agreement voluntarily.
1.2 Required Identification Documents
Primary ID (Select one):
Details to be recorded: Type, Issuing Country, Number, Issue Date, Expiration Date.
1.3 Record Keeping (18 U.S.C. § 2257)
The Company shall maintain records including ID copies, legal names, aliases, and production dates. Records are maintained by the Records Custodian at EVOX S.R.L.S. for a minimum of seven (7) years.
WARNING: The Creator understands that providing false information regarding age or identity is a violation of federal law and may result in criminal prosecution, fines, imprisonment, and immediate termination.
2. SCOPE OF SERVICES
The Creator agrees to create, upload, and categorize original visual content (photos, videos, posts) on morichels.com.
2.3 Prohibited Content
The Creator absolutely may NOT upload content that includes:
3. INTELLECTUAL PROPERTY RIGHTS
3.1 Creator Ownership: The Creator retains full ownership and copyright in all content uploaded.
3.2 License Grant: Creator grants Company a non-exclusive, worldwide, royalty-free license to host, display, transmit, reproduce, and resize content for the operation of the Platform.
3.4 No Transfer: This Agreement does NOT constitute a transfer of copyright ownership.
4. REPRESENTATIONS AND WARRANTIES
- Original Content: All content is original or properly licensed.
- No Infringement: Content does not violate third-party rights.
- Lawful Creation: Content was created lawfully (no CSAM, no non-consensual recordings).
- Sole Performer: Creator is the sole person depicted, or has obtained written consent, age verification, and model releases for all others appearing.
5. COMPENSATION AND REVENUE
5.2 Revenue Split: Creator receives [XX]% of net revenues. Platform retains [XX]% for operations, hosting, and fees.
5.3 Processing: Payments processed via CCBill LLC. Payouts are made [Monthly/Bi-Weekly] via SEPA Bank Transfer.
Tax Obligations: Creator is responsible for declaring income to Italian tax authorities (Agenzia delle Entrate) and paying applicable taxes (IRPEF/IVA).
6. CONTENT PROTECTION
Users are granted a limited license for personal use only. Users are prohibited from downloading, sharing, or screen-recording content.
The Company will implement technical measures (DRM/Watermarking) and respond to DMCA takedown notices. The Creator retains the independent right to pursue copyright infringers.
7. TERM AND TERMINATION
Either party may terminate without cause with 30 days' notice. Immediate termination applies for illegal activity or prohibited content. Upon termination, content is removed within 72 hours (subject to retention for legal compliance).
8. INDEMNIFICATION
Creator agrees to indemnify Company against claims arising from Creator's content, breach of warranty, or false information.
9. LIMITATION OF LIABILITY
Liability is capped at the greater of €5,000 or the total amount paid to Creator in the preceding 6 months. No consequential damages.
10. CONFIDENTIALITY
Parties shall not disclose user data, revenue figures, or technical details to third parties.
11. DATA PRIVACY (GDPR)
Company acts as Data Controller for user data and Data Processor for Creator data. Compliant with GDPR and Italian Privacy Code.
12. ANTI-HUMAN TRAFFICKING
Zero Tolerance: EVOX S.R.L.S. has zero tolerance for trafficking, exploitation, or coercion.
Declaration: Creator declares they are not subject to control, debt bondage, or forced labor.

13. DISPUTE RESOLUTION
Governed by the Laws of Italy. Exclusive jurisdiction of the courts of Verona, Italy.
14. MISCELLANEOUS
Creator is an Independent Contractor. Notices to be sent to support@evox.gg.

RECORD-KEEPING COMPLIANCE NOTICE
18 U.S.C. § 2257 Record-Keeping Requirements Compliance Statement: All persons appearing in visual depictions were over the age of eighteen (18) years at the time of production. Records are kept by the Custodian of Records at EVOX S.R.L.S., Verona, Italy.
